Terms of Use

01Acceptance and eligibility

These Terms of Use are issued by MetroGuild Inc., California, USA. By using MetroSales.AI you agree to them, and they also apply to every user under your organisation's account.

• You must be authorised to bind your organisation to these Terms.
• You must follow these Terms and all applicable laws, and keep your registration details accurate.
• MetroSales.AI is a business-to-business service and is not intended for personal or consumer use.

02Account security

• You are responsible for keeping your login details safe and for all activity under your account.
• Report any suspected unauthorised access to sales@metroguild.com.
• Administrators must deactivate the accounts of employees who leave.
• MetroGuild is not liable for losses caused by poorly protected credentials.

03Permitted use

The platform is for your organisation's internal business use — sales, lead management, customer communication and CRM. You may not:

• resell, sublicense, white-label or redistribute the platform without a written reseller agreement;
• send spam or unsolicited messages in breach of anti-spam rules such as CAN-SPAM, TRAI DLT and the WhatsApp Business Policy;
• reverse engineer, decompile or try to extract the source code;
• upload infringing data, malware or unlawful content;
• probe, scan or test for vulnerabilities without our prior written permission;
• access the platform by automated means other than our documented API, within agreed rate limits;
• use the platform in any way that harms the service or other customers.

04Your data

• You own all the data you import into or create in the platform.
• MetroGuild may store, process and transmit it only to provide the service you have contracted.
• You are responsible for having the legal right to process that data, including any consents needed from your leads and customers.

05Third-party integrations

• Meta (Facebook Lead Ads) — you accept Meta's Business Tools Terms and must include appropriate consent wording in your lead forms.
• WhatsApp Business — you must follow Meta's WhatsApp Business and Commerce Policies, including opt-in before marketing messages. Misuse may lead Meta to suspend your account.
• SMS and DLT (India) — sender IDs and message templates must be registered under TRAI DLT rules before use. We enforce DLT at the infrastructure level but are not responsible for non-compliant templates you submit.
• Portal APIs — for portals such as 99acres, MagicBricks and JustDial, you must follow each portal's API terms and be authorised to export data from them.

06Call recording

You alone are responsible for complying with call recording and notification laws wherever you operate, including building the right disclosures into your call flows. MetroGuild provides the infrastructure but does not oversee your recording compliance.

07Intellectual property

MetroGuild Inc. owns the platform — its software, AI models, designs, trademarks and documentation. You receive a limited, non-exclusive, non-transferable licence to use it during your active subscription.

08Service availability

We target 99.9% uptime, excluding scheduled maintenance and events beyond our reasonable control, and announce planned maintenance at least 48 hours in advance. To the extent the law allows, the platform is provided "as is".

09Limitation of liability

MetroGuild's total liability is limited to the fees you paid in the three months before the claim. We are not liable for indirect or consequential losses, including lost profits, data or business opportunities.

10Termination

We may suspend or end access for a material breach, a security risk or a legal requirement. Data deletion after termination follows our Privacy Policy.

11Governing law and disputes

• These Terms are governed by the laws of the State of California.
• Customers in the US: binding arbitration in Los Angeles under the AAA Commercial Arbitration Rules.
• Customers operating mainly in India: arbitration under the Arbitration and Conciliation Act 1996, seated in Pune, Maharashtra.
• Disputes are resolved individually — class actions are not permitted.

12Changes to these Terms

We may update these Terms and will email administrators about material changes at least 30 days before they take effect. Continuing to use the service after that date means you accept the changes; if you do not, stop using the service and ask us to close your account.
